TERMS AND CONDITIONS OF USE FOR USERS OF VC-JOBS.COM
1. ACCEPTANCE OF TERMS
These Terms and Conditions apply to all and any use of the website identified by the domain name vc-jobs.com ("the Website") including all and any postings, emails and other communications made to or using the website ("Communications"), any business undertaken with the Website and all files and information sent to you by MindServices Limited ("MS"). You will not use the Website for any purpose that is unlawful or prohibited by these Terms and Conditions. By using the Website you are fully accepting the terms, conditions and disclaimers contained in this notice. If you do not accept these Terms and Conditions you must immediately stop using the Website or opening or receiving any files or information sent to you by MS.
2. ADVICE
The contents of the Website do not constitute advice and should not be relied upon in making or refraining from making, any decision.
3. COMMUNICATIONS
3.1. MS is engaged in the business of providing a job advertisement service and ancillary to this is engaged in the transmission, storage, retrieval, hosting, formatting or translation of third party communications without selection or alteration of the content of the communication for which it is a mere conduit ("Communication").
3.2. You agree and accept that MS has no responsibility to review the content of the Communications on the Website all of which are made available on the basis that MS shall not be required to exercise any control or judgement of the content or the material posted or contained therein.

3.6. You further agree that in any activity undertaken following use of and related to your use of the Website you will not in any way conduct yourself in a manner which is unlawful or which gives rise to civil or criminal liability or which might call into disrepute MS.
3.7. You agree to indemnify and hold harmless MS against all liability it may have in respect of and arising out of your use of the Website and your Communications.
3.8. You agree that any information that you submit to the Website will be your own and is true and is not in any respect, misleading, deceptive, inaccurate or likely to mislead or deceive including in particular that all employment opportunities that you post on the Website relate to genuine job opportunities.
3.9. MS shall be entitled to remove or restrict any Communications which it determines in its sole and absolute discretion might be unacceptable including as described in these Terms.
3.10. By submitting Communications or other content to the Website, including a job advertisement, you agree to waive any moral rights in your Communications and you grant MS a royalty free, perpetual, irrevocable, sublicenseable, non-exclusive, worldwide right to use, reproduce, modify, adapt, publish, translate, create derivative works for, transmit, communicate, distribute, display or make available to the public such Communications or other content.
3.11. MS regularly monitor the discussion threads, however the sheer volume of traffic on the comment threads and [forum] mean that MS doesn’t’ always manage to read every post on the Website. 4.1.3. change these Terms and Conditions at any time, and your continued use of the Website following any changes shall be deemed to be your acceptance of such change.
5. LINKS TO THIRD PARTY WEBSITES
The Website may include links to third party websites that are controlled and maintained by others and have not been verified or reviewed by MS. Any link to other websites is not an endorsement of such websites and you acknowledge and agree that we are not responsible for the content or availability of any such sites.
6. INTELLECTUAL PROPERTY
6.1. All copyright, trade marks (registered or unregistered including without limitation the following marks: "MINDSERVICES and "VC-JOBS.COM"), trade and business names, trade secrets, know-how and all other intellectual property rights in the Website and its content (including without limitation the Website design, text, graphics and all software and source codes connected with the Website) are owned by or licensed to MS or otherwise used by MS as permitted by law. All such rights of MS are hereby asserted and reserved.
6.2. In accessing the Website you agree that you will access the content solely for your personal use. None of the content may be downloaded, copied, adapted, altered, broadcast, reproduced, transmitted, stored, sold or distributed without the prior written consent of the copyright holder. MS grants you a non-exclusive and non-transferable right and licence to download and print a single copy of this Website only to access and use this Website for your personal, non-commercial use and subject to these Terms. You may not sublicense or deal with this Website without MS’s prior written permission.
7. PRIVACY POLICY
7.1. MS makes a commitment to protecting privacy and promises only to use personal information collected in accordance with the Data Protection Act 1998.
7.2. From time to time MS may ask for and/or you may choose to submit personal data and sensitive personal data to the Website or MS. By providing personal details you are consenting to its use and warranting that you have complied with your obligations under the Data protection Act 1998. This information will be kept securely in accordance with our internal security policy.
7.3. You agree that this data may be used, stored and processed to improve the operation, administration and development of the Site; to improve MS’s service; for identification purposes as well as for marketing, advertising and promotional purposes but only in accordance with the Data Protection Act 1998. 9.3. MS makes no warranty that the functionality of the Website will be uninterrupted or error free, that defects will be corrected or that the Website or the server that makes it available are free of viruses or anything else which may be harmful or destructive.
9.4. Nothing in these Terms and Conditions shall be construed so as to exclude or limit the liability of MS for death or personal injury as a result of the negligence of MS or that of its employees or agents.
10. INDEMNITY
You agree to indemnify and hold MS and its employees and agents harmless from and against all liabilities, legal fees, damages, losses, costs and other expenses in relation to any claims or actions brought against MS arising out of any breach by you of these Terms and Conditions or other liabilities arising out of your use of this Website.
11. PAYMENT
11.1. The Website is free to visit and view however in order to post a job advertisement, you must subscribe and pay the relevant charges (the structure of which is notified to you from time to time including by clicking here), complete the appropriate online form and submit your request or order. When you submit your request or order it will be deemed an offer to purchase the relevant services for the price stated.
11.2. Payment may be made online, or over the phone, using a credit or debit card (currently VISA, MasterCard, American Express, Delta and Switch/Solo).
11.3. MS aim to debit money from your account within [one working day] after receiving your purchase request.
11.4. To ensure that shopping on-line is secure, your credit/debit card details will be encrypted to minimise the possibility of someone being able to read them as they are sent over the Internet.
11.5. Your credit card company may also do security checks to confirm it is you making the order.
11.6. Invoices will be sent to the credit card billing address.
11.7. From time to time it may become necessary for MS to make alterations to the charges, prices and fees. In the event of any such change MS shall publish these on the Website and they shall become effective immediately upon publication.
11.8. You will not be charged for any request that cannot be fulfilled and where appropriate MS will use all reasonable efforts to re-credit to your account or otherwise refund any sum debited by MS on request.
11.9. All prices are quoted in pounds sterling and include V.A.T and delivery costs.
11.10. The Website does not accept cash, cheque or money order.
11.11. MS may cancel any sale and not supply services if it is reasonable to do so and may change or discontinue such services at any time at its sole discretion.
12. GENERAL
12.1. MS acts as principal on its own account and not as agent for you or any other person.
12.2. If MS does not enforce any provision of these Terms and Conditions such will not be considered a waiver of any provision or right.
12.3. In the event that any part of these Terms and Conditions is held to be unenforceable, such part will at MS’s option be construed as far as possible to reflect the parties’ intentions and the remainder of the provisions will remain in full force and effect.
12.4. These Terms and Conditions constitute the entire agreement between you and MS and shall apply to the exclusion of all other terms or conditions of contract which you may purport to propose.
12.5. Since the Website is primarily aimed at the UK Market, MS cannot guarantee that it accords with the local laws of any other countries.
12.6. MS will not be liable in any amount for failure to perform any obligation under these Terms and Conditions if such failure is caused by the occurrence of any unforeseen contingency beyond the reasonable control of such party including without limitation Internet outages, communication outages, fire, flood, war or act of God.
